These Terms of Service (“Terms”) govern your access to and use of the website, listings, forms, applications, communications, and related services offered by Capital Ventures Group d/b/a Edge Realty (“Edge Realty,” “Edge,” “we,” “us,” or “our”).

By accessing or using our website or related services (collectively, the “Services”), you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Services.

1. Scope of Services

Edge Realty provides a website and related tools that may allow users to:

  • browse rental and sale listings;
  • request information;
  • schedule tours;
  • communicate with agents or representatives;
  • join mailing lists;
  • submit rental or purchase-related inquiries;
  • apply for properties;
  • upload supporting documentation; and
  • interact with us through forms, chat, email, SMS, phone, advertising lead forms, and related channels.

The Services may include information, content, communications, and tools made available directly by us or through third-party service providers.

2. Eligibility

The Services are intended for a general audience and are not directed to children under 13.

You may browse publicly available portions of the Services if permitted by law. However, to create an account, submit an application, request a tour, upload documents, or engage in any transaction-related activity through the Services, you must be at least 18 years old and capable of entering into a legally binding agreement.

If you use the Services on behalf of a company, landlord, owner, brokerage, or other entity, you represent and warrant that you have authority to bind that entity to these Terms.

3. Changes to the Services or These Terms

We may modify these Terms from time to time in our discretion. When we do, we may update the “Last Updated” date and post the revised Terms on the website. Your continued use of the Services after revised Terms become effective constitutes your acceptance of the revised Terms.

We may also change, suspend, restrict, or discontinue all or any part of the Services at any time, with or without notice, to the fullest extent permitted by law.

4. No Agency, Brokerage, or Fiduciary Relationship by Website Use Alone

Your use of the Services, browsing of listings, submission of an inquiry, receipt of marketing communications, or communication with us through the website does not, by itself, create an exclusive agency, fiduciary, client, brokerage, joint venture, partnership, employment, or similar relationship between you and Edge Realty.

Any brokerage relationship, representation relationship, fee arrangement, or transaction-specific obligation must be set forth in a separate written agreement or legally required disclosure, where applicable.

5. Listings and Property Information Disclaimer

The Services may include listings, photographs, floor plans, dimensions, descriptions, pricing, neighborhood information, amenities, availability, and other property-related content.

All listing information is subject to change without notice and may include errors, omissions, inaccuracies, outdated information, prior sale, prior rental, withdrawal, price changes, or unavailability.

Edge Realty does not warrant that:

  • any listing will remain available for any period of time;
  • any listing is accurate, complete, current, or error-free;
  • any dimensions, measurements, or square footage are exact;
  • any images fully reflect the current condition of a property;
  • any property condition, legality, habitability, or suitability meets your needs; or
  • any transaction will close, be approved, or proceed on any particular timeline.

You are solely responsible for independently verifying any information that matters to your decision, including price, availability, square footage, condition, legal use, school zoning, transportation, fees, landlord requirements, and any other material fact.

6. No Professional Advice

The Services are provided for informational and marketing purposes. Edge Realty does not provide legal, tax, accounting, lending, appraisal, inspection, engineering, environmental, architectural, or other professional advice through the website.

You should consult your own qualified professionals before relying on any information or entering into any lease, purchase agreement, screening authorization, payment arrangement, or other transaction.

7. User Accounts and Account Security

If account functionality is offered, you may be required to create an account to use certain features.

You agree to:

  • provide accurate, current, and complete information;
  • keep your information updated;
  • maintain the confidentiality of your login credentials;
  • not share your account with another person;
  • not use another person’s credentials without authorization; and
  • notify us promptly of any suspected unauthorized use or security breach.

You are responsible for all activity that occurs under your account to the extent caused by your acts, omissions, or failure to safeguard your credentials.

8. Communications Consent

By submitting your contact information to us, you consent to receive communications from Edge Realty and its representatives by email, phone call, and text message, including communications about listings, tours, applications, updates, and marketing, subject to applicable law.

You understand that:

  • message and data rates may apply;
  • consent to receive marketing texts or calls is not a condition of purchasing or renting any property or using the Services;
  • you may opt out of marketing emails through the unsubscribe link;
  • you may opt out of marketing text messages by replying STOP; and
  • we may still send service-related or transaction-related communications where permitted by law.

You represent that any phone number or email address you provide belongs to you or that you are authorized to provide it.

9. Applications, Screening, and Supporting Documents

If you apply for a property or submit supporting information through the Services, you agree that:

  • all information you submit will be truthful, accurate, complete, and not misleading;
  • you will provide only documents you are authorized to provide;
  • submission of an application does not guarantee approval, acceptance, or housing placement;
  • landlords, property managers, owners, screening providers, brokers, agents, or other authorized parties may review your information as necessary for the applicable transaction;
  • additional disclosures, authorizations, or consents may apply to background checks, credit checks, identity verification, fraud prevention, or other screening processes; and
  • Edge Realty may rely on third-party providers for parts of the application, screening, verification, or document-handling process.

You may not submit false identities, altered documents, misleading financial information, fake employment information, or incomplete disclosures.

10. Fees, Commissions, and Third-Party Charges

Use of the website itself is generally offered without a paid subscription unless expressly stated otherwise.

However, certain transactions or services may involve broker fees, commissions, application fees, screening fees, deposits, payment processing fees, or other charges imposed by Edge Realty, a landlord, a building, a management company, a screening provider, or another third party. Any such amounts, when applicable, must be disclosed separately and are not created solely by these Terms.

Edge Realty is not responsible for third-party fees, payment terms, refund policies, or billing practices unless expressly stated in a separate written agreement signed by Edge Realty.

11. Permitted Use

Subject to these Terms, Edge Realty grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Services for your personal or internal business use in connection with legitimate real estate-related purposes.

You may not use the Services for any unlawful purpose or in any way that violates these Terms.

12. Prohibited Conduct

You agree that you will not, and will not permit any other person to:

  • violate any applicable law, regulation, ordinance, or contractual duty;
  • use the Services for unlawful, deceptive, fraudulent, abusive, harassing, defamatory, threatening, discriminatory, or misleading conduct;
  • submit false, forged, altered, or incomplete documents or information;
  • impersonate any person or entity or misrepresent your affiliation with any person or entity;
  • post or transmit unlawful housing preferences, discriminatory language, or content that violates federal, state, or local fair housing or anti-discrimination laws;
  • upload malware, malicious code, or harmful content;
  • interfere with or disrupt the Services or servers;
  • attempt unauthorized access to accounts, systems, data, or infrastructure;
  • scrape, crawl, spider, index, harvest, or copy listing data, user data, images, or content by automated means or otherwise, except as expressly authorized in writing;
  • reverse engineer, decompile, disassemble, copy, or exploit any part of the Services;
  • bypass rate limits, security features, or access restrictions;
  • send spam, chain letters, or unauthorized solicitations through the Services;
  • use the Services to solicit users, landlords, owners, agents, or brokers for competing services without our written permission;
  • copy or republish listing content, photography, branding, or website materials without authorization;
  • use the Services in a way that imposes an unreasonable load on our infrastructure; or
  • violate these Terms or encourage others to do so.

We reserve the right to investigate violations and to suspend, restrict, or terminate access for any lawful reason.

13. Fair Housing and Lawful Use

You agree to use the Services in compliance with all applicable housing, consumer protection, privacy, anti-discrimination, advertising, and communications laws.

Without limitation, you may not use the Services to publish, communicate, request, or enforce unlawful preferences, limitations, exclusions, or discriminatory criteria in connection with housing.

Edge Realty reserves the right to remove or refuse content, inquiries, applications, or communications that we believe may violate applicable law, these Terms, or our internal compliance standards.

14. User Content

“User Content” means any information, documents, text, photos, videos, images, forms, applications, messages, attachments, feedback, or other material you submit, upload, transmit, or otherwise provide through the Services.

You retain ownership of your User Content, subject to the rights you grant to us in these Terms.

You represent and warrant that:

  • you own or control all rights necessary to submit the User Content;
  • the User Content does not violate any law or third-party right;
  • the User Content is accurate to the extent it purports to state facts; and
  • the User Content does not contain malware, unlawful material, or content that violates these Terms.

15. License You Grant to Edge Realty

By submitting User Content through the Services, you grant Edge Realty a non-exclusive, worldwide, royalty-free, transferable, sublicensable license to host, store, reproduce, modify, format, display, transmit, process, distribute, and otherwise use that User Content as reasonably necessary to:

  • operate and provide the Services;
  • process inquiries and applications;
  • communicate with you and relevant third parties;
  • facilitate transactions and document review;
  • market listings and our services;
  • improve the Services;
  • maintain records;
  • enforce our rights; and
  • comply with legal and regulatory obligations.

This license continues for as long as reasonably necessary for the foregoing purposes, subject to our retention practices and applicable law.

16. Intellectual Property

The Services, including the website design, text, graphics, logos, trade names, service marks, trademarks, photographs, videos, software, databases, selection, arrangement, and overall look and feel, are owned by Edge Realty, its affiliates, licensors, or content providers and are protected by applicable intellectual property laws.

Except for the limited license expressly granted in these Terms, no right, title, or interest in or to the Services is transferred to you.

17. Third-Party Services and External Sites

The Services may link to, embed, integrate with, or rely on third-party websites, maps, messaging tools, analytics tools, advertising platforms, screening providers, CRM systems, payment processors, lead sources, or other services.

Edge Realty does not control and is not responsible for third-party products, services, policies, content, availability, or practices. Your use of third-party services may be subject to separate terms and privacy policies.

18. Privacy

Your use of the Services is also subject to our Privacy Policy, which is incorporated into these Terms by reference.

19. Suspension and Termination

We may suspend, limit, or terminate your access to the Services, with or without notice, for any lawful reason, including if we believe that:

  • you violated these Terms;
  • you created risk or possible legal exposure for us or others;
  • your conduct may be fraudulent, abusive, deceptive, or unlawful;
  • your use interferes with the Services or other users; or
  • suspension or termination is necessary for security, legal, operational, or compliance reasons.

Termination does not relieve you of obligations that by their nature should survive termination.

20. Disclaimers

THE SERVICES ARE PROVIDED “AS IS,” “AS AVAILABLE,” AND WITH ALL FAULTS TO THE MAXIMUM EXTENT PERMITTED BY LAW.

EDGE REALTY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, QUIET ENJOYMENT, OR SYSTEM INTEGRATION.

WITHOUT LIMITING THE FOREGOING, EDGE REALTY DOES NOT WARRANT THAT:

  • the Services will be uninterrupted, secure, or error-free;
  • listings or property information will be accurate or current;
  • defects will be corrected;
  • the Services will be free from viruses or harmful components;
  • any inquiry will receive a response;
  • any application will be reviewed, accepted, or approved;
  • any tour will occur on a requested schedule;
  • any property will be available, suitable, lawful, or accurately described; or
  • any transaction will be completed.

YOUR USE OF THE SERVICES IS AT YOUR OWN RISK.

21. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EDGE REALTY, CAPITAL VENTURES GROUP, AND THEIR RESPECTIVE AFFILIATES, OWNERS, MEMBERS, MANAGERS, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITY, OR PROPERTY VALUE, ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS SHALL NOT EXCEED THE GREATER OF:

  1. THE AMOUNT YOU PAID DIRECTLY TO EDGE REALTY, IF ANY, IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR
  2. FIFTY U.S. DOLLARS (US $50.00).

SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS OF LIABILITY, SO PARTS OF THIS SECTION MAY NOT APPLY TO YOU.

22. Indemnification

You agree to defend, indemnify, and hold harmless Edge Realty, Capital Ventures Group, and their respective affiliates, owners, members, managers, officers, directors, employees, agents, contractors, licensors, and service providers from and against any claims, demands, liabilities, damages, losses, judgments, settlements, penalties, fines, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to:

  • your use of the Services;
  • your User Content;
  • your violation of these Terms;
  • your violation of applicable law;
  • your fraud, negligence, willful misconduct, or misrepresentation; or
  • your infringement or violation of any third-party right.

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification, and you agree to cooperate with that defense.

23. Dispute Resolution; Arbitration

Please read this section carefully. It affects your rights.

A. Informal Resolution First

Before filing a lawsuit or arbitration, you agree to first send us a written notice of dispute describing the nature of the claim and the relief sought. We will attempt to resolve the dispute informally within thirty (30) days.

B. Agreement to Arbitrate

Except for claims that qualify for small claims court, claims seeking temporary or preliminary injunctive relief, or claims relating to intellectual property or unauthorized access, you and Edge Realty agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved by binding individual arbitration.

The arbitration shall be administered by the American Arbitration Association (“AAA”) under the AAA Consumer Arbitration Rules and Mediation Procedures then in effect.

C. Governing Arbitration Law

This arbitration agreement is governed by the Federal Arbitration Act and applies to the fullest extent permitted by law.

D. Location and Format

Unless the parties agree otherwise, arbitration shall take place in Kings County, New York, or by remote proceeding if permitted by the applicable rules.

E. Small Claims Option

Either party may bring an eligible individual claim in small claims court instead of arbitration, so long as the matter remains an individual action.

F. Class Action Waiver

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AND EDGE REALTY AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF, CLASS MEMBER, PRIVATE ATTORNEY GENERAL, OR REPRESENTATIVE IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.

THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON’S CLAIMS AND MAY NOT PRESIDE OVER ANY FORM OF CLASS OR REPRESENTATIVE PROCEEDING.

G. Jury Trial Waiver

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AND EDGE REALTY WAIVE ANY RIGHT TO A JURY TRIAL FOR CLAIMS SUBJECT TO ARBITRATION.

H. Opt-Out Right

You may opt out of this arbitration agreement by sending written notice to info@edgerealtyny.com within 30 days after first accepting these Terms. Your notice must include your full name, email address, mailing address, and a clear statement that you wish to opt out of arbitration. Opting out of arbitration will not affect any other part of these Terms.

I. Survival

This Section survives termination of these Terms and your use of the Services.

24. Governing Law and Venue

Except to the extent preempted by federal law or governed by the arbitration section above, these Terms and any dispute arising out of or relating to them shall be governed by the laws of the State of New York, without regard to conflict-of-laws principles.

For any dispute not subject to arbitration, you and Edge Realty consent to the exclusive jurisdiction and venue of the state and federal courts located in Kings County, New York, to the extent permitted by law.

25. Electronic Records and Signatures

You agree that electronic communications, records, submissions, consents, and signatures may be used in connection with the Services and that such electronic items may have the same legal effect as physical written records and handwritten signatures, to the extent permitted by law.

26. Assignment

You may not assign, transfer, or delegate these Terms or any rights or obligations under them without our prior written consent.

We may assign or transfer these Terms, in whole or in part, to an affiliate or in connection with a merger, acquisition, financing, reorganization, or sale of assets.

27. Severability

If any provision of these Terms is held unlawful, invalid, or unenforceable, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force and effect.

28. No Waiver

Our failure to enforce any provision of these Terms is not a waiver of that provision or any other provision.

29. Entire Agreement

These Terms, together with our Privacy Policy and any additional written agreements, disclosures, consents, or transaction-specific terms that expressly apply, constitute the entire agreement between you and Edge Realty regarding the Services and supersede prior or contemporaneous understandings regarding the Services.
